Note: This Agreement is governed by the laws of the Kyrgyz Republic. In the event of any discrepancy between language versions, the Russian-language version shall prevail. This English translation is provided for informational purposes only.
1.1. This document constitutes a public offer (hereinafter — the "Agreement") made by XTRAVEL LLC (ОсОО «Икс Тревел»), hereinafter referred to as the "Service Provider", and addressed to an unlimited number of persons in accordance with the civil legislation of the Kyrgyz Republic.
1.2. This Agreement does not require signature by the Parties or the execution of any additional documents. Full and unconditional acceptance of this offer is deemed to occur upon the Client's payment of a deposit or the full price of the travel services. The Agreement shall be considered duly concluded from the moment the funds are credited to the Service Provider's bank account or received at the Service Provider's cash register. A payment receipt, invoice, or bank transfer confirmation shall constitute documentary evidence of the conclusion of this Agreement.
1.3. By making payment, the Client confirms that the terms and conditions of this Agreement are clear and acceptable to them and that they accept such terms in their entirety.
1.4. The following definitions apply throughout this Agreement:
2.1. The Service Provider undertakes, upon the Client’s Booking Request, to arrange and provide travel services (a tour) in accordance with the itinerary, dates, and conditions specified in the confirmed Booking Request and Tour Programme. The Client undertakes to accept and pay for such services in accordance with the terms of this Agreement.
2.2. The specific scope of travel services included in the tour (including transportation, accommodation, meals, guide services, excursions, etc.) is defined in the Tour Programme. Any services not included in the Tour Programme shall be agreed upon separately between the Parties.
2.3. Tours are operated within the territory of the Kyrgyz Republic, the Republic of Uzbekistan, the Republic of Kazakhstan, and other countries as mutually agreed by the Parties.
2.4. To process a booking, the Client shall provide the Service Provider with complete and accurate information required for the identification of all tourists. In the event that the information provided is incomplete or inaccurate, the Service Provider reserves the right to refuse or suspend the booking until correct information is provided.
3.1. The price of travel services is determined individually for each tour and each Client, depending on the type of tour, scope of services, number of participants, travel dates, and other applicable factors. No fixed standard price applies under this Agreement. The price of each specific tour is confirmed in the Booking Request and constitutes an essential term thereof.
3.2. Payment terms:
3.2.1. To confirm a booking, the Client shall pay a deposit in the amount specified in the Booking Request (by default, not less than 50% of the total tour price), unless otherwise agreed by the Parties.
3.2.2. The remaining balance shall be paid by the deadline specified in the Booking Request, but no later than 3 (three) business days prior to the tour departure date, unless otherwise agreed by the Parties.
3.2.3. Payment may be made in Kyrgyz soms or in a foreign currency at the exchange rate of the receiving commercial bank on the date of payment.
3.2.4. Accepted payment methods include: cash at the Service Provider's office; bank transfer to the Service Provider's account; payment systems accepted by the Service Provider (Visa, Mastercard, and others as listed on www.xtravel.kg).
3.2.5. The payment date is the date on which funds are credited to the Service Provider's bank account or received at the cash register.
3.3. The tour price confirmed in the Booking Request and paid by the Client shall not be subject to change, except as provided in Clause 5.5 of this Agreement.
4.1. The Service Provider shall be entitled to:
4.1.1. Request from the Client all information and documents necessary for the organisation of the tour and identification of tourists.
4.1.2. Amend the tour price or cancel the Booking Request in the event of late payment or failure to provide required documents by the Client, subject to deduction of documented costs actually incurred and written notification to the Client.
4.1.3. Cancel the tour in the event of force majeure circumstances (Section 9), subject to notification of the Client and refund of payments received, less documented costs actually incurred.
4.1.4. Process the personal data of the Client and tourists to the extent and on the conditions set out in Section 8 of this Agreement.
4.2. The Service Provider shall be obliged to:
4.2.1. Provide the Client, in a timely manner, with full information regarding the tour: the programme, itinerary, price, payment terms, safety measures, and the exact departure time — no later than 24 hours before the tour commences. Where less than 24 hours remain before commencement, such information shall be provided at the time of booking.
4.2.2. Ensure the proper quality and safety of all travel services in accordance with the Tour Programme.
4.2.3. Take appropriate measures to safeguard the rights, freedoms, and lawful interests of the Client during the tour within the territory of the Kyrgyz Republic.
4.2.4. Promptly notify the Client of any inability to fulfil its obligations or of any material change to the tour conditions as soon as such circumstances arise.
4.2.5. In the event of unilateral withdrawal from its obligations during the tour, arrange the return of the tourist to the point of departure on conditions no less favourable than those set out in the Tour Programme.
4.2.6. Inform the Client of any unforeseen increases in the cost of individual services included in the tour price.
4.2.7. Perform all obligations under this Agreement.
4.3. The Client shall be entitled to:
4.3.1. Demand that travel services be rendered in accordance with the agreed Tour Programme.
4.3.2. Claim compensation from the Service Provider for damages caused by improper performance of obligations, in accordance with applicable law of the Kyrgyz Republic.
4.3.3. Submit a formal complaint to the Service Provider in the event of breach of any term of this Agreement (see Section 7).
4.3.4. Unilaterally withdraw from the tour, subject to notice to the Service Provider and reimbursement of costs actually incurred, in accordance with Section 5.
4.4. The Client shall be obliged to:
4.4.1. Pay the full price of the travel services within the timeframes and in the manner stipulated by this Agreement.
4.4.2. Independently review the terms of this Agreement, the Tour Programme, and the entry and stay requirements applicable to the Kyrgyz Republic and the destination country/region prior to submitting a Booking Request.
4.4.3. Provide the Service Provider with complete and accurate information and documents regarding all tourists in a timely manner; and upon receipt of completed documents, verify their completeness, accuracy, and correctness.
4.4.4. Ensure that all tourists arrive at the tour departure point and at all designated meeting points on time throughout the tour.
4.4.5. Ensure that all tourists comply with the following requirements during the tour:
– observe the laws of the Kyrgyz Republic and the destination country; respect local customs, traditions, and religions;
– comply with accommodation rules, fire safety regulations, and personal safety guidelines;
– treat the natural environment and cultural heritage with care;
– comply with the entry and exit requirements of the destination country/region.
4.4.6. Compensate the Service Provider for costs actually incurred in the event of unilateral cancellation, subject to documentary evidence of such costs.
4.4.7. Compensate for any damage caused by tourists to the property of third parties during the tour, where such damage is duly proven.
5.1. Amendment, termination, and unilateral withdrawal from obligations shall be carried out on the grounds and in the manner prescribed by the civil legislation of the Kyrgyz Republic and this Agreement.
5.2. The Client may unilaterally cancel the tour, subject to reimbursement of documented costs actually incurred by the Service Provider, in accordance with the following cancellation schedule:
– more than 30 days prior to departure: full refund less actual costs incurred (not exceeding 10% of the tour price);
– 14 to 30 days prior to departure: retention of up to 25% of the tour price;
– 7 to 14 days prior to departure: retention of up to 50% of the tour price;
– less than 7 days prior to departure: retention of up to 75% of the tour price;
– less than 48 hours prior to departure or no-show: retention of 100% of the tour price.
5.3. For tours involving non-refundable costs (airline tickets, visa fees, non-refundable hotel bookings), refund conditions are governed by the terms of the relevant service providers and are specified in the Tour Programme. The Client is notified of such conditions at the time of booking.
5.4. The Service Provider may unilaterally terminate this Agreement, subject to refund of amounts received from the Client less documented costs actually incurred.
5.5. The Service Provider may adjust the tour price in the event of a material change (exceeding 10%) in supplier costs, exchange rates, or other objective factors, subject to written notice to the Client at least 3 (three) business days in advance. The Client shall be entitled to cancel the tour with a full refund.
6.1. The Service Provider shall be responsible for the safety of tourists during the tour within the scope of the agreed itinerary and Tour Programme.
6.2. Adventure Tours (including but not limited to mountaineering, high-difficulty routes, whitewater rafting, technical horse-riding, helicopter excursions, and other activities involving elevated physical risk) shall be conducted subject to the following conditions:
– the tourist confirms that they possess the necessary level of physical fitness;
– the tourist agrees to comply with all instructions of the guide and all safety requirements of the Service Provider throughout the tour.
6.3. A Liability and Risk Waiver Agreement (Annex 3) must be signed by the tourist in person at the tour departure point, prior to the tour's commencement. Participation in an Adventure Tour is not permitted without execution of this document. The Waiver shall record:
– the tourist's voluntary consent to participate in the tour and informed acceptance of the inherent risks of the activity;
– confirmation that the tourist has no medical contraindications to participation;
– a description of objectively unforeseeable risks of the extreme environment for which liability cannot be attributed to the Service Provider.
6.4. Execution of the Liability and Risk Waiver Agreement does not release the Service Provider from liability for any negligent acts or omissions by its employees or guides that result in harm to the tourist's life or health.
6.5. In the case of Adventure Tours, the Service Provider may notify the Ministry of Emergency Situations of the Kyrgyz Republic of the planned route.
7.1. The Parties shall be liable for non-performance or improper performance of their obligations in accordance with the applicable law of the Kyrgyz Republic and this Agreement.
7.2. Any complaints by the Client must be submitted to the Service Provider in writing — by post or by email to xtravel.kg@gmail.com — within 20 (twenty) calendar days of the tour's conclusion. The Service Provider shall respond to the complaint within 10 (ten) business days of receipt.
7.3. In the event of a breach of this Agreement by the Service Provider, the Client shall be entitled to claim compensation for actual damages in accordance with applicable law of the Kyrgyz Republic.
7.4. Disputes not resolved by negotiation or the complaint procedure set out in this Section shall be referred to the competent courts of the Kyrgyz Republic. A Client who is an individual may bring proceedings either at the location of the Service Provider or at the Client's place of residence, at the Client's discretion.
8.1. By making payment and thereby accepting this Agreement, the Client gives their free, specific, and informed consent to the processing of their personal data and the personal data of the tourists named in the Booking Request, in accordance with the Law of the Kyrgyz Republic "On Personal Information" dated 14 April 2008 No. 58.
8.2. Categories of personal data processed: full name; date of birth; passport details and nationality; contact information (telephone number, email address); and other data necessary for the organisation of the specific tour.
8.3. Purposes of processing:
– performance of obligations under this Agreement;
– booking of services from providers (hotels, transport operators, guides, insurers, visa centres);
– arrangement of travel insurance and visa documentation (where applicable);
– informing the Client of new tours, promotions, and special offers (the Client may unsubscribe at any time).
8.4. The Service Provider may transfer personal data to third-party service providers directly involved in the organisation of the tour, solely to the extent necessary for the performance of this Agreement. Transfer of data to third parties for commercial purposes without the Client's separate consent is prohibited.
8.5. The Client may withdraw their consent to the processing of personal data at any time by submitting a written request to: 109/1 Turusbékova St., Bishkek, Kyrgyz Republic, or by email to: xtravel.kg@gmail.com. Withdrawal of consent shall not affect the lawfulness of processing carried out prior to such withdrawal.
8.6. Personal data shall be retained for a period of 5 (five) years from the date of the tour's conclusion, or until the Client withdraws their consent, whichever occurs first.
9.1. Neither Party shall be liable for full or partial non-performance of its obligations under this Agreement if such non-performance results from force majeure events arising after acceptance of this Agreement and beyond the reasonable control of the Parties, including but not limited to: natural disasters, military operations, civil unrest, border closures, quarantine or pandemic declarations, governmental restrictions on tourism, suspension of visa issuance, and other extraordinary circumstances.
9.2. The Party affected by a force majeure event shall notify the other Party within 24 (twenty-four) hours of the event's occurrence.
9.3. Consequences of force majeure:
– if the tour has not yet commenced: the Service Provider shall refund all amounts paid, less documented non-refundable costs;
– if the tour has already commenced: the Parties shall jointly determine the course of action; in the event of a dispute, the applicable provisions of the civil legislation of the Kyrgyz Republic shall govern.
9.4. In the event of force majeure, either Party shall be entitled to demand restitution of any performance rendered without having received the corresponding counter-performance.
10.1. This Agreement constitutes a public offer and does not require signature by the Parties. The Agreement shall be considered concluded upon receipt of a deposit or full payment from the Client. Payment is the sole method of acceptance required under this offer.
10.2. The Service Provider reserves the right to amend the terms of this offer unilaterally by publishing a revised version on www.xtravel.kg. Amendments shall take effect 5 (five) calendar days after publication and shall not apply to Booking Requests already accepted (paid for).
10.3. A receipt, invoice, or other document confirming payment for travel services shall form an integral part of this Agreement.
10.4. The Parties acknowledge the legal validity of documents transmitted by email, messaging applications, and other means of communication that allow reliable identification of the sender.
10.5. This Agreement is drawn up in Russian. In the event of any discrepancy between language versions, the Russian-language text shall prevail. This English translation is provided for reference purposes only.
10.6. The following documents form an integral part of this Agreement:
– Annex 1 — Tour Programme (prepared separately for each tour);
– Annex 2 — Tourist Information Form;
– Annex 3 — Liability and Risk Waiver Agreement (to be signed by the tourist in person at the departure point for Adventure Tours; not required for standard tours).
10.7. All matters not expressly addressed by this Agreement shall be governed by the applicable legislation of the Kyrgyz Republic.
